Welcome to Magic Nothing! These Terms of Service ("Terms") govern your use of the Magic Nothing platform and services. By accessing or using Magic Nothing, you agree to be bound by these Terms.

1. Who We Are

Magic Nothing Inc operates an online platform that helps independent artists and music creators connect with tools, resources, and opportunities to grow their careers.

2. Accounts & Access

2.1 Age Requirements

You must be at least 13 years old to use Magic Nothing. If you're under 18, you need parental consent.

2.2 Account Responsibility

You are responsible for all activity under your account. Keep your login credentials secure and notify us immediately if you suspect unauthorized access.

3. Platform Usage

3.1 Acceptable Use

You may use Magic Nothing to:

• Submit music for playlist consideration
• Purchase and use tokens for submissions and services
• Access courses, workshops, and educational content
• Connect with curators and other music professionals
• Participate in community discussions (Discord, etc.)

3.2 Prohibited Actions

You may NOT:

• Use bots, scripts, or automated tools to interact with the platform
• Create multiple accounts to evade restrictions or manipulate the system
• Submit content that infringes on others' intellectual property
• Harass, threaten, or abuse other users
• Attempt to hack, reverse-engineer, or compromise our systems
• Resell or transfer tokens or services without authorization
• Post spam, misleading information, or malicious content

4. Tokens & Payments

4.1 Token System

Magic Nothing uses a token system for transactions. 1 token = $1 USD.

4.2 Purchases

All token purchases are final and non-refundable unless required by law or in cases of proven platform error.

4.3 Curator Payouts - Quality-Based Earnings

Curators earn tokens based on their playlist quality tier. Both artists and curators benefit from transparent, tier-based pricing:

• Entry tier (0-24 points): Artists pay 2 tokens, Curators receive 1 token (50%)
• Starter tier (25-39 points): Artists pay 5 tokens, Curators receive 3 tokens (60%)
• Standard tier (40-69 points): Artists pay 8 tokens, Curators receive 5 tokens (62.5%)
• Premium tier (70-89 points): Artists pay 10 tokens, Curators receive 7 tokens (70%)
• Elite tier (90-100 points): Artists pay 16 tokens, Curators receive 12 tokens (75%)

Quality tiers are determined by objective performance metrics including streams, retention, artist satisfaction, and data freshness. This system rewards curators who deliver exceptional value to artists while ensuring fair pricing for all participants.

Curators can cash out earned tokens subject to our payout policies and minimum thresholds (50 tokens minimum).

5. Content & Intellectual Property

5.1 Your Content

You retain ownership of the music and content you submit. By using Magic Nothing, you grant us a limited license to display, distribute, and promote your content as necessary to operate the platform.

5.2 Platform Content

All Magic Nothing branding, design, and original content are our property. You may not use them without permission.

6. Third-Party Services

We integrate with services like Spotify, Discord, and Stripe. Your use of these services is governed by their respective terms.

7. Disclaimers & Limitations

7.1 No Guarantees

We don't guarantee playlist placements, streams, or any specific outcomes from using our platform.

7.2 Service Availability

We strive for 24/7 availability but cannot guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect access.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGIC NOTHING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

8. Indemnification

You agree to indemnify and hold Magic Nothing harmless from any claims arising from your breach of these Terms or your use of the platform.

9. Dispute Resolution

9.1 Informal Resolution

We prefer to resolve disputes informally. Contact us at info@magicnothing.com before pursuing formal action.

9.2 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in Los Angeles, California, except where prohibited by law.

10. Changes to Terms

We may update these Terms. Continued use after changes constitutes acceptance. For material changes, we'll notify you via email or platform announcement.

11. Termination

We may suspend or terminate accounts that violate these Terms. You may close your account at any time by contacting support.

12. Governing Law

These Terms are governed by California law, without regard to conflict of law principles.
