Creator Agreement

1. Introduction
This Creator Agreement ("Agreement") governs the relationship between Magic Nothing Inc ("Magic Nothing," "Platform," "we," "us") and playlist curators ("Creator," "Curator," "you") who earn revenue by reviewing music submissions on the Platform.
This Agreement supplements our Terms of Service, which also apply to you. In the event of a conflict between this Agreement and the Terms of Service, this Agreement controls for curator-specific matters.
2. Creator Eligibility
- You must be at least 18 years old
- You must have the legal right to enter into this Agreement
- You must provide accurate information in your application
- You must maintain the quality standards set by the Platform
3. Revenue Sharing
3.1 Curator Earnings — Quality-Based Payouts
Your earnings are based on your playlist quality tier, which rewards curators who deliver value to artists. Higher-tier playlists earn a larger share of submission revenue. Current rates for each tier are displayed on the Platform.
Your quality tier is determined by playlist performance metrics. Details on how quality tiers are calculated are available on the Platform.
Earnings are calculated in real-time and added to your account.
3.2 Cashout Policy
- Minimum cashout: as displayed on the Platform
- Cashouts processed within the timeframe displayed on the Platform
- 1 token = $1 USD for cashout purposes
- Payment methods: as available on the Platform (currently Stripe Connect)
- Platform may require tax information before processing payments
3.3 Earning Events
You earn tokens when you review a submission (accept, decline, or place elsewhere). You do not earn tokens for submissions that expire without review or that you choose to refund.
3.4 Rate Changes
We may adjust payout rates, quality tier thresholds, and platform fees. Changes apply to new submissions only — existing submissions honor the rate locked at the time of submission.
4. Curator Obligations
As a playlist curator, you agree to:
- Review all submissions within the timeframe displayed on the Platform
- Provide honest, constructive feedback
- Not accept payments outside the Platform for playlist placements found on the Platform (yes, you can still be a curator on other platforms)
- Maintain accurate playlist information and genres
- Maintain a response rate at or above the minimum threshold displayed on the Platform. Falling below this threshold may result in your playlists being paused or hidden from discovery.

You may delegate playlist management to another user via the Platform's delegation feature. You remain responsible for all activity on your playlists regardless of delegation.
You may enable vacation mode to temporarily pause new submissions to your playlists.
5. Stripe Connect & Payouts
- To receive payouts, you must complete Stripe Connect onboarding, including identity verification and tax information as required by Stripe and applicable law.
- Payouts are processed in USD. If your Stripe Connect account is in another currency, Stripe will convert at their prevailing exchange rate.
- Magic Nothing does not have access to your banking details — these are handled entirely by Stripe.
- If your Stripe Connect account is restricted or closed by Stripe, we cannot process payouts until the issue is resolved with Stripe directly.
6. Content Standards
- All content must be original or properly licensed
- Content must be appropriate and professional
- No misleading or false information
- Must comply with all applicable laws
7. Platform Rights
The Platform reserves the right to:
- Review and approve all creator applications
- Monitor creator performance and user feedback
- Suspend or terminate creators who violate this Agreement
- Modify quality tier thresholds and payout rates with 30 days' notice
- Remove content that violates our policies
8. Intellectual Property
- You retain ownership of your original content
- You grant the Platform a limited, non-exclusive license to display and promote your content on the Platform
- You warrant that your content doesn't infringe on others' rights
- The Platform owns all Platform-related intellectual property and branding
9. Taxes
- You are solely responsible for reporting and paying all taxes on earnings from the Platform.
- Magic Nothing will issue IRS Form 1099 (or equivalent) as required by applicable law for US-based creators.
- For creators outside the US, you are responsible for compliance with your local tax obligations. Magic Nothing may request tax documentation (e.g., W-8BEN) before processing payouts.
- If required by law, Magic Nothing may withhold taxes from your payouts.
- You must provide accurate tax information when requested.
10. Confidentiality
In the course of reviewing submissions, you will have access to artist information including their music, messages, and Spotify data. You agree to treat this information as confidential.
- You may not share, publish, or disclose submission details, artist messages, or feedback outside the Platform without the artist's consent.
- You may not use artist data obtained through submissions for any purpose other than reviewing and responding to submissions on the Platform.
This obligation survives termination of this Agreement.
11. Term and Termination
- This Agreement begins upon approval of your creator application.
- Either party may terminate with 14 days' written notice.
- Upon termination, earned tokens above the cashout minimum will be paid out within 30 days, subject to completion of Stripe Connect onboarding and applicable tax documentation.
- Tokens earned through activity that violated this Agreement or the Terms of Service may be forfeited.
Survival. The following sections survive termination: Intellectual Property (Section 8), Taxes (Section 9), Confidentiality (Section 10), and Dispute Resolution (Section 12).
12. Dispute Resolution
Any disputes arising from or relating to this Agreement will be resolved in accordance with the Dispute Resolution provisions in our Terms of Service (Section 18), which are incorporated by reference.
13. General Provisions
- This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Magic Nothing regarding your role as a curator.
- Amendments must be in writing.
- If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
- This Agreement is governed by the laws of the State of California, without regard to conflict of law principles.
